1. Agreement to Terms

By accessing or using the Stratus Marketplace platform ("Service"), operated by Stratus ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

Stratus Marketplace is a software-as-a-service (SaaS) platform that provides AI-powered business automation tools ("Bots"). Our Service allows users to deploy, configure, and manage automation bots for tasks including but not limited to lead generation, data enrichment, and outreach management. Bots run on dedicated cloud infrastructure managed by Stratus.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

4. Subscription Plans and Billing

The Service is offered through subscription plans with the following terms:

  • Free Trial: New accounts receive a 7-day free trial. No credit card is required to start a trial.
  • Billing Cycle: Subscriptions are billed monthly. Payment is due at the beginning of each billing cycle.
  • Plan Tiers: We offer Starter ($199/mo), Growth ($499/mo), and Scale ($999/mo) plans, each with different feature sets and usage limits.
  • Upgrades and Downgrades: You may change your plan at any time. Upgrades take effect immediately, and downgrades take effect at the next billing cycle.
  • Payment Processing: All payments are processed securely through Stripe. We do not store your full credit card information on our servers.
  • Failed Payments: If a payment fails, we will attempt to charge the payment method on file up to three times. If all attempts fail, your account may be suspended.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your access will continue until the end of the current billing period
  • No further charges will be made after cancellation
  • We do not provide prorated refunds for partial months of service
  • You may request a full refund within 14 days of your first paid subscription if you are unsatisfied with the Service

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Send spam, unsolicited messages, or communications in violation of anti-spam laws (CAN-SPAM, GDPR, etc.)
  • Scrape or collect data in violation of third-party terms of service
  • Infringe on the intellectual property rights of others
  • Distribute malware, viruses, or other harmful software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service for any illegal, fraudulent, or deceptive purpose
  • Resell or redistribute the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of data you upload or generate through the Service. You grant us a limited license to process and store this data solely for the purpose of providing the Service. We do not sell your data to third parties.

8. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Stratus and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.

9. Service Availability and Modifications

We strive for high availability but do not guarantee uninterrupted access to the Service. We may modify, update, or discontinue features of the Service at any time. For significant changes, we will provide reasonable notice. We are not liable for any loss or damage resulting from service interruptions or modifications.

10. Limitation of Liability

To the maximum extent permitted by law, Stratus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount paid by you to Stratus in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or uninterrupted. Results obtained through the use of bots (such as lead quality, email deliverability, or data accuracy) are not guaranteed.

12. Indemnification

You agree to indemnify and hold harmless Stratus, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of New South Wales, Australia.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
